We assist clients with creating investment entities, raising investment capital from outside investors, and deploying capital through various types of investment transactions. Our work in this area is primarily focused on financing of renewable energy and energy efficiency projects. One special area of expertise in the field of impact investment entails the creation of nonprofit investment vehicles that raise debt capital from mission-oriented investors and then deploy that capital through interest-bearing loans that further the entity’s mission.
In the course of a capital raise, we assist clients in developing and implementing strategies to comply with securities and other regulations, preparing offering memoranda, partnership and LLC agreements and subscription documents, negotiating with prospective investors, documenting management services arrangements, and closing fund formation transactions.
For existing investment entities, we assist with negotiating, documenting, and closing equity and debt investments. We help draft form equity and debt transaction documents and also negotiate and customize these documents in the context of particular investment transactions. We also assist with other aspects of investment transactions, including performance of due diligence and ensuring portfolio company/project compliance with securities regulations.
Our attorneys also serve as outside general counsel to investment entities, assisting with corporate governance, commercial contracts, and other legal needs as they arise.
